Terms of Service

1. Acceptance of Terms

By creating an account or using Paideon (the “Service”), operated by OSOF LLC (“Company,” “we,” “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

If you are using the Service on behalf of a school, school district, or other organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Paideon is an AI-powered grading platform that helps educators evaluate student work against rubrics. The Service includes:

Uploading and managing student submissions
AI-assisted grading with rubric-based evaluation
Grade review, editing, and export tools
Class and student roster management
School organization features for multi-teacher environments

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old to create an account. The Service is designed for educators; students do not create accounts or interact with the platform directly.

4. Acceptable Use

You agree to:

Use the Service only for legitimate educational purposes
Upload only student work that you are authorized to grade
Not share your account credentials with others
Not attempt to reverse-engineer, decompile, or extract the AI grading models
Not use the Service to process data unrelated to educational grading
Comply with all applicable laws, including FERPA and state student data privacy laws

5. Student Data & Privacy

You acknowledge that you are the data controller for student education records uploaded to the Service. We process student data solely as a “school official” under FERPA, under your direction and control.

No student PII is sent to AI: Student names and identifiers are stripped before submission content is sent to our AI grading engine.
File retention: Uploaded submission files are automatically deleted from our storage after 7 days. Grade records (scores and feedback) are retained until you delete them.
Data rights: You may export or delete student data at any time through the platform.
No secondary use: We will never sell, rent, or use student data for advertising, profiling, or any non-educational purpose.

6. AI Grading Disclaimer

The AI grading feature provides suggested grades and feedback based on your rubric. AI-generated grades are not final until a teacher reviews and approves them. You acknowledge that:

AI grades are suggestions, not authoritative assessments
You are responsible for reviewing and approving all grades before they become final
The AI may occasionally produce inaccurate or inconsistent results
Final grading decisions are always the teacher's responsibility

7. Licensing & Access

The Service is licensed to schools and educators through institutional agreements. Access is provisioned by your school administrator or through a pilot program.

School licenses: Access is managed at the school or district level. Your administrator controls seat allocation and plan features.
Cancellation: Schools may cancel at any time. Access remains active until the end of the current licensing period.
Pilot programs: Pilot participants receive full access during the evaluation period at no cost. Pilot terms are defined in separate agreements.
Pricing changes: We will provide at least 30 days' notice before any pricing change takes effect on existing licenses.

8. Intellectual Property

Your content: You retain all rights to student submissions, rubrics, grades, and feedback you create. We claim no ownership of your content.
Our service: The Paideon platform, including its design, code, AI models, and branding, is owned by OSOF LLC. You are granted a non-exclusive, revocable license to use the Service during your subscription.
Feedback: If you provide suggestions or feedback about the Service, we may use it to improve the platform without obligation to you.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect availability. We are not liable for any losses resulting from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law, OSOF LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

We are not responsible for grading decisions made by educators using the platform, including decisions informed by AI-generated suggestions.

11. Indemnification

You agree to indemnify and hold harmless OSOF LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law (including FERPA).

12. Data Processing for Schools

If you represent a school or school district, we are willing to execute a Data Processing Agreement (DPA) that complies with applicable federal and state student data privacy laws. Contact legal@paideon.app to initiate a DPA.

13. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination:

Your access to the Service will cease immediately
You may request an export of your data within 30 days of termination
After 30 days, your data will be permanently deleted

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

15. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes by email at least 30 days in advance. Continued use after changes take effect constitutes acceptance.
